I think during a reboot/shutdown XP itself closes all the process started by itself, so I guess that does need a bit of CPU utilization. I think everything is OK. Still just to be sure check in task-manager all the processes that are running.

it never goes down... it's constantly jumping from 35% to 55%... but if i run LIve For Speed (game) and minimize it CPU usage drops to 2%. but when i exit the game it goes back up to 50%... i've never seen similar problem :S

Open up Task Manager and keep an eye on what processes are consuming cycle times. Also, watch your network activity...you can do that by having the network connection icon loaded into your System Tray.
