No. if you do a CPU upgrade, ram upgrade, PSU upgrade, video card upgrade, no need for a reinstall.

Well, I'd say that it depends on a few things.. just change it, boot and see..if everything will be fine then no need to reinstall
But be aware that in some cases the OS fails after such hardware change...

Don't you have to have ACPI enabled in the bios and XP for it to take a dual core cpu?

Make sure the bios is up to date.

Backup any data before you install the new CPU or make a copy of the partion.

You should not have to reinstall but you may have to reactivate Win XP which should not be a problem either.

I'd say it doesn't really depend on anything. CPU changes will not affect the operation of the OS with maybe one exception (if done too often) and that's activation. Not necessarily an "OS failure".
