Will Noctua NH-C12P SE14 Fit? - RaM Problems?

Mainboard: Z68P-DS3, DDR3 2133
Memory: 4x4GB G.Skill 1600 X
Soundcard:

Hi,
(1st let me say that this site is totaly amazing! wish i knew about it before)

Specs:
Core i5 2500K
Gigabyte Z68P-DS3
4x4GB 1600 Ripjaws X - (All 4 slots are taken)
ENGTX460
Sharkoon Rebel9 Aluminum ATX - (ATX Form Factor; 30.5cm x 21.5cm)

Now here are my thoughts:
Iv got all 4 ram slots acupied _ - _ Would this be a problem?
My mobo is stated as ATX _ ***BUT*** most ATX are Form Factor; 30.5cm x 24.5cm
and main is Form Factor; 30.5cm x 21.5cm
Its 3cm short _ - _ So is this going to be a problem?
and the hight...? _ - _ Will i be able to close my case?

It should fit. If your mobo is an ATX and the case is an ATX it should work. And yes it will close unless you have some kind of big tall heatsink and fan on the CPU like Guru3D uses in their testing.

Make sure you install the RAM first. The NH-C12P + Ripjaws can be a headache. That cooler might cover the first ram slot and you wont be able to install the ram with it on. Happened to me when I used that same cooler with Ripjaws on a Gigabyte P67 board I put together for a friend.
