Well I have a pretty good pc atm <specs on the left> but I can give this to my son and build me a new one. The one he has one and it is not to outdated but has some issue's so I have to get one anyway. I want to build a new one for myself only if there is a noticable increase in gaming performance to justify the money spent. Otherwise I am thinking about just watercooling my system and overclocking it and then just replacing and updating some of the components in my sons pc

I don't think you would see that much of a boost getting a new cpu/mobo/ram presuming you would get 2600k/3770k, 0-15% at most in games i would guess since you already have that chip at 4.5GHz. The biggest boost would be GPU. What do you need to replace in his PC?
